Stars Incentive Programme Terms

* (Copy From FB:) These Stars Incentive Programme Terms ("Stars Incentive Terms") govern your (referred to herein as you, your and/or Creator) participation in a Stars Incentive Programme. A Stars Incentive Programme is any programme through which Creators are eligible to earn rewards for taking certain actions and/or meeting certain goals in connection with the receipt of Stars.

By participating in a Stars Incentive Programme, by taking any steps to complete a Challenge (defined below) or by accepting payment from Facebook in connection with any Stars Incentive Programme, you agree to these Stars Incentive Terms. Please read these Stars Incentive Terms carefully.

Through participation in an Stars Incentive Programme, Creators are eligible to earn rewards from time to time for taking certain actions, reaching certain milestones and/or completing certain challenges (each, a "Challenge") with respect to the receipt of Stars from Facebook Users for eligible Creator activity and Content, as described in more detail in the Programme Rules, defined as any terms, conditions or requirements that are presented to you in connection with a Stars Incentive Programme and that reference these Stars Incentive Terms. Programme Rules may be presented on-platform or through some other means specified by Facebook.

Reference to "Creator", "you" or "your" means the person or entity that receives Stars, or its authorised agent (as applicable) or all other individuals or entities acting on your behalf, at your direction, under your control or under the direction or control of the same individual or entity who controls you.

1. Your participation in any Stars Incentive Programme is subject to, and you agree to comply with: (a) the Facebook Terms of Service; and (b) the Stars Streamer Terms. Any capitalised terms used in these Stars Incentive Terms that are not defined have the meaning set forth in the Stars Streamer Terms. We reserve the right, in our sole discretion, to withhold or not issue a Reward (defined below) to you if you, or your streaming activities fail to comply with any of our terms and policies, including, but not limited to, the policies listed herein.
2. Facebook may make available Challenges on platform, along with Programme Rules that will include the time period during which the Challenge must be completed ("Challenge Period") and required actions to successfully complete the Challenge. Creators who successfully complete the Challenge during the Challenge Period will be eligible to receive the additional earnings payout as described in the Programme Rules (the "Reward").
3. To be eligible for a Reward in connection with a Stars Incentive Programme, you must comply with the relevant Programme Rules. Whether or not defined in the Programme Rules, you must also complete any programme onboarding and payment enrolment process associated with the relevant Stars Incentive Programme.
4. Your acceptance of these Stars Incentive Terms does not guarantee your access to any Stars Incentive Programme or to any Reward pursuant to such programme. We reserve the right to provide or restrict your access to the Stars Incentive Programmes (and any Rewards provided pursuant to those programmes) or to terminate any Stars Incentive Programme in our sole discretion at any time.
5. There are no representations, warranties or guarantees, express or implied, about whether you will receive Rewards pursuant to a Stars Incentive Programme or how large of a Reward you may receive. Rewards provided pursuant to a Stars Incentive Programme do not reflect or guarantee your entitlement to any future Reward or payment.
6. Challenge actions must be completed within the Challenge Period to be eligible for payment. Challenge actions occurring outside the applicable Challenge Period are not eligible towards a Challenge Reward for that Challenge Period.
7. If you complete a Challenge, your Reward will be paid out on the same schedule as Stars earnings.
8. You will not, and will not authorise or encourage any third party to, directly or indirectly, award Stars through any automated, deceptive, fraudulent or otherwise invalid means, including through the use of "robots" or other automated tools, or by payment of money, false representation, or any illegal or otherwise invalid or abusive means to participate in a Challenge. To the extent that you are entitled to a Reward based on the stated Challenge metric(s), you warrant that those metrics did not result from any automated, deceptive, fraudulent, abusive or otherwise invalid means. Any violation of these prohibitions, these Stars Incentive Terms or any Programme Rules may result in exclusion from the Stars Incentive Programme, any Rewards earned may be forfeited and your Facebook account may be suspended.
9. You must be set up to receive payment from Facebook for Stars as set forth in the Stars Streamer Terms in order to receive Rewards.
10. You represent and warrant that: (i) you have the full right and power to agree to these Stars Incentive Terms and to perform your obligations hereunder; and (ii) the performance of your obligations hereunder will not conflict with any obligations that you may have to any other party.
11. If you are participating in an Stars Incentive Programme on behalf of a third party (including, but not limited to, as an agent or representative of a Creator), you represent and warrant that you have the authority as agent of such party to participate in such programmes on their behalf, agree to these Stars Incentive Terms and hereby bind such party to these Stars Incentive Terms. You agree to indemnify and hold us harmless from any claims, suits, losses, liabilities, damages, costs and expenses resulting from your breach of the Stars Incentive Terms. If you are accepting these Stars Incentive Terms as an admin of a business or through Facebook Business Manager for a business, these Stars Incentive Terms shall apply to all relevant accounts owned or operated by your business at the time of acceptance and thereafter.
12. You may extend these Stars Incentive Terms to any of your affiliates, agents or representatives, subject to their compliance, in which case, (a) you enter into these Stars Incentive Terms on behalf of yourself and such participating affiliates, (b) you shall remain responsible for a breach of these Stars Incentive Terms by such affiliates, and (c) references to "you" or "your" herein shall be interpreted as applying to such affiliates where applicable.
13. We may communicate with you about the Stars Incentive Programme, Rewards and other related topics through targeted Facebook posts, via the email address provided to us, or by post at the street address that you provided to us. Website and email notices shall be deemed received by you within 24 hours of the time posted or sent; notices by post shall be considered received within three (3) working days of the date sent.
14. The parties hereby supplement Facebook's Terms of Service and all other terms, conditions and policies incorporated therein (collectively, the "Facebook Terms") by means of these Stars Incentive Terms. The Stars Incentive Programmes are part of the "Facebook Products" provided to you by Facebook, Inc. and your participation in any Stars Incentive Programme is deemed part of your use of Facebook Products. In the event of any express conflict between these Stars Incentive Terms and the Facebook Terms, these Stars Incentive Terms will govern solely with respect to your participation in any Stars Incentive Programme and solely to the extent of the conflict. Facebook Terms of Service include a provision that requires the resolution of most disputes by arbitration on an individual basis. These Stars Incentive Terms do not alter in any way the terms or conditions of any other agreement that you may have with us. We reserve the right to monitor or audit your compliance with these Stars Incentive Terms and to update these terms from time to time at our discretion, and your continued participation in an Stars Incentive Programme constitutes acceptance of those changes.
